For the first decade of FringeNYC, we have operated with a “kitchen cabinet” kind of board (to quote our Theatre Leadership Institute guru, George Thorn). With a small, intimate, working board, we have been able to face not only the tremendous growth and fast-paced nature of decision making at FringeNYC, but also the ethical challenges every growing not-for-profit faces. Quite simply, we have stayed away from not only any conflicts of interest, but any potential perceived conflicts of interest. Our small board embodies our core values. We are fortunate that we built the festival on a firm foundation, laying out procedures for all of the challenges we have faced thus far. As both the festival and our reputation have grown, we have become aware that there are many supporters of FringeNYC who have expressed interest in joining our board of directors. In the next three years, with professional assistance, we will revise and refine our bylaws and expand our conflict of interest policies, taking into account all new legislation and guidelines issued not only by our advocacy organizations but also by the Internal Revenue Service, and initiate a long-term plan for considered growth of our board and committee structure. We have planned cultivation events and resource council expansion in order to facilitate easily identifying and creating more personal relationships with those who already have a deep relationship with our organization and mission, and understand the covenants required of any member of the board. |
